Plain-English summary: HaulBid is a marketplace, not an employer. Drivers and contractors run their own businesses — we just help them find each other and handle payment. Be honest, do the work you said you’d do, follow the law, and don’t try to game the platform. If a job goes wrong, we mediate using GPS data and dump tickets. If you don’t agree with any of this, please don’t use HaulBid.

Terms of Service

These Terms of Service (“Terms”) govern your use of haulbidapp.com, our mobile applications, and the marketplace and payment services we operate (collectively, the “Service”). The Service is operated by HaulBid (“HaulBid,” “we,” “us”), based in Tulsa, Oklahoma. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Who can use HaulBid

You must be at least 18 years old, have the legal authority to enter into these Terms, and (if you are signing up on behalf of a business) have the authority to bind that business. Drivers must hold a valid commercial driver’s license appropriate for the equipment they operate, current motor-carrier authority where required by law, and active commercial auto and general liability insurance. Contractors must operate a legitimate business and have authority to commission haulaway or delivery services for the job sites they post.

2. What HaulBid is (and is not)

HaulBid is a technology platform. We do not own trucks, employ drivers, broker freight, or perform hauling services. Drivers and contractors are independent third parties; the contract for each job is between the driver and the contractor, not with HaulBid. HaulBid is not a party to the underlying transportation contract and does not act as a motor carrier, freight broker, or freight forwarder unless and until we explicitly say so in writing.

Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between HaulBid and any user. Drivers are not employees of HaulBid or of contractors who hire them through the Service. Drivers control their own equipment, schedules, routes, and methods of work. Drivers are responsible for their own taxes, insurance, fuel, maintenance, and any subcontractors they choose to use.

3. Accounts and verification

You must provide accurate, current, and complete information when you sign up and keep it updated. You are responsible for everything that happens under your account, including activity by anyone you give access to. Keep your password secure and tell us right away if you suspect unauthorized access.

We use Stripe Connect to verify driver identity and tax information (KYC). You agree that we may collect identity documents through Stripe and that Stripe may share verification status, the last four digits of bank or tax IDs, and risk signals with us. We may verify CDL status, insurance certificates, and motor-carrier authority through public databases or third-party services. We may suspend, restrict, or close any account that fails verification, has incorrect information, or appears fraudulent.

4. How jobs work

Contractors post jobs that describe pickup and drop-off locations, material type, estimated weight or volume, scheduled time, and any special instructions. Drivers submit bids for jobs they want to work. When a contractor accepts a bid, a binding job contract is formed between the contractor and the driver. The driver agrees to provide the agreed-upon hauling service at the agreed-upon price; the contractor agrees to provide site access and pay the agreed-upon price through HaulBid’s escrow.

The driver must check in at pickup and at drop-off through the driver app, upload a dump-ticket photo (where applicable), and follow all traffic, environmental, and DOT regulations. The contractor must provide reasonable site access and accurate job information. Both sides must communicate through HaulBid’s messaging system so that we have a record if a dispute arises.

5. Payments, escrow, and platform fees

When a contractor accepts a bid, the agreed-upon job price plus the contractor’s 5% service fee is authorized on the contractor’s payment method and held in escrow by Stripe. Funds are released to the driver after the driver completes the job and the contractor confirms delivery (or after a reasonable auto-confirm window passes without dispute). HaulBid retains a 5% platform fee from the driver’s side and a 5% service fee from the contractor’s side. Total platform take is 10% per job, split evenly between the two sides.

Payouts to drivers are processed by Stripe, typically within one to two business days of release, depending on the driver’s bank. HaulBid does not earn interest on funds held in escrow. Refunds and chargebacks follow the dispute process described below.

Each driver and contractor is responsible for their own taxes. HaulBid will issue a Form 1099-NEC or 1099-K (as applicable) for drivers who meet the IRS threshold in a calendar year. Stripe may collect tax information directly to satisfy these reporting obligations.

6. Cancellations and no-shows

A contractor may cancel a job before the driver is en route at no charge. If the contractor cancels after the driver has begun travel to pickup, the contractor pays a cancellation fee equal to 25% of the job price; the rest of the escrow is refunded. If a driver cancels after accepting a job, no platform fee is charged to either side, but repeated late cancellations may result in suspension. A driver who fails to show up without cancelling forfeits their rating and may be removed from the platform.

7. Disputes

If a job goes wrong — the load is wrong, the truck doesn’t fit, the dump fee was higher than disclosed, the driver was late, the job site was inaccessible — either side can open a dispute through the app within 48 hours of the scheduled drop-off time. We will review GPS data, dump-ticket photos, in-app messages, and any documentation either side provides, and we will issue a written decision within five business days. Decisions may include releasing escrow to the driver, refunding the contractor in part or in full, charging a make-good adjustment, or suspending an account for cause.

HaulBid’s dispute decisions are not arbitration awards and are not legally binding determinations of fault. They govern only how funds in escrow are distributed and whether an account remains in good standing. Either party may pursue separate legal remedies against the other if they choose.

8. Ratings and reviews

After each completed job, both sides may rate and review the other. Ratings must be honest and based on the actual job. We do not edit ratings, but we will remove ratings that contain personal attacks, profanity, threats, or content that violates a third party’s rights. Repeated low ratings may lead to suspension. Trying to coerce another user into changing a rating — through threats, refusal of payment, or off-platform pressure — is grounds for immediate account termination.

9. Prohibited conduct

You may not use the Service to:

• Misrepresent your identity, business, equipment, insurance, or licensure.

• Bid on a job you are not legally able or qualified to perform.

• Haul materials that are illegal, hazardous, or improperly manifested.

• Solicit users to take jobs off-platform to avoid platform fees, after a job is matched.

• Manipulate ratings, post fake reviews, or create duplicate accounts.

• Issue chargebacks for jobs that were completed as agreed.

• Harass, threaten, or discriminate against other users or HaulBid staff.

• Reverse-engineer, scrape, or interfere with the Service.

• Violate any applicable federal, state, or local law in connection with your use of the Service.

10. Suspension and termination

We may suspend or terminate an account at any time, with or without notice, if we reasonably believe the user has violated these Terms, posed a safety risk to other users, or engaged in fraud. Where practical, we will give notice and an opportunity to respond before suspension; for serious violations, we may act immediately. You can close your account at any time through the app, subject to completion of any open jobs and resolution of any open disputes.

Sections of these Terms that by their nature should survive termination — including indemnification, limitation of liability, dispute resolution, and ownership clauses — will survive.

11. Insurance and safety

Drivers must maintain commercial auto liability insurance with limits at or above the minimums required by law for the equipment they operate, plus general liability coverage. Drivers are solely responsible for cargo, equipment damage, and injuries arising from their work. HaulBid is not an insurer and does not provide insurance coverage for jobs booked through the Service. Contractors are responsible for site safety, accurate descriptions of materials and conditions, and all permits and approvals required to perform the job.

12. Content you post

You retain ownership of the content you post on the Service (job listings, photos, ratings, messages). By posting, you grant HaulBid a worldwide, royalty-free, sublicensable license to host, store, display, reproduce, and distribute that content for the purpose of operating, improving, and marketing the Service. You represent that you have the right to grant this license and that your content does not infringe anyone else’s rights or violate any law.

13. Intellectual property

The HaulBid name, logo, software, design, and content (other than user content) are owned by HaulBid and protected by copyright, trademark, and other intellectual-property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission, except as expressly allowed by these Terms.

14. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT BIDS, MATCHES, OR PAYOUTS WILL OCCUR ON ANY PARTICULAR TIMELINE; OR THAT ANY DRIVER OR CONTRACTOR WILL PERFORM AS REPRESENTED. HAULBID DOES NOT GUARANTEE THE ACCURACY OF USER-PROVIDED INFORMATION, INCLUDING JOB DESCRIPTIONS, INSURANCE STATUS, OR LICENSURE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. HAULBID’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO HAULBID IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold harmless HaulBid and its officers, directors, employees, and agents from and against any claim, loss, damage, liability, and expense (including reasonable attorneys’ fees) arising out of (a) your use of the Service, (b) your violation of these Terms or any law, (c) your performance of (or failure to perform) a job, (d) your insurance or licensure status, or (e) any content you post. We will tell you promptly about any claim and let you control the defense, provided that any settlement requires our written approval.

17. Governing law and venue

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws rules. Subject to the arbitration agreement below, you and HaulBid agree that any dispute that is not resolved through arbitration will be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you and HaulBid each consent to personal jurisdiction in those courts.

18. Arbitration agreement and class-action waiver

Please read this section carefully — it affects your legal rights. Except for claims for injunctive relief related to intellectual property and except for small-claims-court matters, any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Tulsa County, Oklahoma, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award the same individual relief that a court could.

You and HaulBid waive any right to a jury trial and any right to bring or participate in a class action, collective action, or representative proceeding. If a court finds that this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed from arbitration and may proceed in court; the remaining claims will continue in arbitration.

Right to opt out: You may opt out of this arbitration agreement by emailing legal@haulbidapp.com with the subject “Arbitration Opt-Out” within 30 days of accepting these Terms. If you opt out, neither you nor HaulBid will be bound by this arbitration agreement.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give at least 14 days’ notice by email or in-app before they take effect. Your continued use of the Service after the effective date means you accept the updated Terms. The “Last updated” date at the top always reflects the most recent change.

20. Miscellaneous

These Terms, together with the Privacy Policy and any other policy referenced in the Service, are the entire agreement between you and HaulBid about the Service. If any provision is found unenforceable, the rest of the Terms remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
